Job Description:
-- Provide value-added legal-regulatory assistance for company and its
subsidiaries.
-- Handle legal matters and correspondence pertaining to the
authorities such as PTA, PEMRA, CCP, SECP, BOR, DHA etc; Ensure
compliance with obligations of WLL, LDI, Mobile TV and Cellular
licenses in AJK and Pakistan in the light of local laws, Telecom Act,
Rules, Regulations, Policies, Directives, Guidelines, License
Conditions and Agreements Review, draft replies and research on
Consultation/Policy Papers, Directives, Determinations, Show Cause
Notices and Approvals of PTA, PEMRA, BOR, CCP etc.
Corporate Compliance:
-- Provide legal support for acquisitions and incorporation of company
subsidiaries.
-- Manage company secretarial portfolios of company and its
subsidiaries/affiliates.
-- Handle corporate compliance matters of company and its subsidiaries
which include (i) conducting the Annual General Meetings (ii)
company’s Quarterly Meetings and Meetings of its Subsidiaries (ii)
Drafting of Board Resolutions (iii) Execution of Board Resolutions
preparing various statutory forms.
-- Ensure all corporate records are duly maintained for ease of reference.
-- Handle all correspondence/updates with SECP, KSE and OTH.
-- Be familiar with the legalities, processes and documentations for
the process of acquisitions and mergers of companies.
The ideal candidate should
-- Be a qualified LL.B/LL.M - Regulatory Law & Company Secretary
-- Have Good understanding of Telecom Networks
-- Have Sound knowledge of the Companies Ordinance, 1984, Listing
Regulations of Karachi Stock Exchange (Guarantee) Limited, Code of
Corporate Governance & all Secretarial Matters for public and private
companies.
-- Have Understanding of Financial Statements and reports.
-- Minimum 05 years of relevant experience.
Essential Skills:
-- Good drafting and research skills
-- Sound knowledge of all legalities and processes of compliance and
regulatory law
Desirable Skills:
-- Good Interpersonal & Communication Skills
-- Be a Team Player
-- MS Office expertise
